*Annualized Coupon: Investors should be mindful of the stated maturity dates above as all products are quoted per annum, even in maturities of less than one year. Accordingly, the actual coupon rate will be less than the stated annualized coupon for these offerings. Annualized coupons are based upon a 360-day year, so the coupons for products maturing in less than a year should be recalculated based upon the number of days until maturity. For example, a product with a stated 10 percent per annum coupon provides an actual return of roughly 2.5 percent (based on a 360-day year) over a three-month term.
**Contingent Downside Protection: In a reverse convertible note, Downside Protection is the percent difference between the barrier price and the initial price of the underlying stock. If the underlying stock(s) closes below the barrier price on any day during the observation period, the investor is at risk of receiving at maturity a predetermined number of shares of the underlying stock (or their cash equivalent) rather than the principal amount of the notes.
***Credit Linked Notes and Credit Risk Credit linked notes are subject to the risk of loss of principal as well as the credit risk of the issuer and the referenced entities. Credit risk is the risk of loss caused by borrowers, bond obligors, guarantors, or counterparties failing to fulfil their obligations or the risk of such parties’ credit quality deteriorating. Exposure to the credit risk of one or more referenced entities is particularly relevant to any credit linked product, such as credit linked notes. When investing in credit linked notes, the potential losses, which may be sustained, and the frequency and likelihood of such losses occurring may be substantially greater than when investing in an obligation of the referenced entity(ies) itself(themselves). While a credit rating by a ratings agency does not guarantee the safety of principal, it does provide an independent opinion. Investors should understand the claims paying ability of the issuer as well as the referenced entity(ies) before investing in credit linked products.
